Corporate Act Revision CommitteeThe Corporate Act Revision Committee (“CARC”) was created in the early 1980’s to assess and make legislative recommendations concerning the Revised Model Business Corporations Act (“RMBCA”). This review process culminated in the adoption of RCW Ch. 23B in 1989. Since then, CARC has continued to consider and periodically propose changes to RCW Ch. 23B, in response to both practioners’ comments as well as RMBCA amendments proposed by the American Bar Association Committee on Corporate Laws. CARC proposes legislative changes to RCW Ch. 23B on a regular basis, and generally accompanies its proposals with written “Commentary” which is meant to guide interpretation of the proposed amendments. A compendium of all such commentary through the 2009 Legislative Session has been published in a single Sourcebook. The Sourcebook will be updated periodically, and updates will be posted on this website as they become available.
